CardNexus Shield Terms of Service (US & Canada)

The terms of the Shield shipping protection included at no cost with eligible shipments sent from the United States and Canada.

Article 1 – DEFINITIONS

The following definitions apply to these Shield Terms of Service:

  • "CardNexus": means CardNexus, Inc., a corporation organised under the laws of the State of Delaware, United States, having its registered office at 131 Continental Dr, Suite 305, Newark, DE 19713, and its mailing address at 2261 Market Street STE 46085, San Francisco, CA 94114.

  • "Shield": means the shipping-protection service included by CardNexus with eligible shipments sent from the United States and Canada, under which CardNexus provides a contractual guarantee against the Covered Events defined in Article 6 for a given Covered Shipment.

  • "Seller": means any User selling Products through the Marketplace, as defined in the General Terms and Conditions.

  • "Order": means a purchase of Products placed by a Buyer with a Seller through the Marketplace.

  • "Tracked Shipment": means any shipment, parcel or letter, sent from the United States or Canada with a delivery service that provides a tracking number, entered on the Order when it is marked as shipped.

  • "Barcoded Letter": means an untracked letter shipped from the United States under Article 5.2.5 bis of the General Terms and Conditions, bearing a scannable postage barcode (Intelligent Mail barcode) whose number is entered on the Order when it is marked as shipped.

  • "Covered Shipment": means a Tracked Shipment or a Barcoded Letter corresponding to an Order, which meets the conditions of Article 7.

  • "Covered Amount": means the items subtotal of the Order, in US dollars, as displayed when the Order is marked as shipped. Shipping costs are not included in the Covered Amount.

  • "Consignment Date": means the calendar day (local time) on which the shipment is handed over to the carrier.

  • "High-Value Shipment": means a Tracked Shipment whose Covered Amount is equal to or greater than the threshold set out in Article 7.3.

  • "Covered Event": means one of the events listed in Article 6.

  • "General Terms and Conditions": means the CardNexus General Terms and Conditions available in the help center.

Article 2 – PURPOSE AND SCOPE

2.1 These Shield Terms of Service govern the application, operation, and performance of Shield for shipments sent from the United States and Canada. They supplement the General Terms and Conditions, which continue to apply to all matters not addressed herein. In the event of a conflict concerning Shield, these Shield Terms of Service prevail.

2.2 Shield is a contractual guarantee granted by CardNexus to the Seller. It is included with every Covered Shipment and creates no obligation for any shipment that is not a Covered Shipment. The Seller's sole counterparty under Shield is CardNexus.

2.3 Shield is included at no cost for Sellers shipping from the United States and Canada, for Orders priced in US dollars. Shield does not apply to an untracked letter that is not a Barcoded Letter (in particular a letter sent with a plain stamp, or an untracked letter shipped from Canada, where no barcoded letter service exists), nor to any shipment that does not meet Article 7.

Article 3 – APPLICATION

3.1 Shield applies automatically when the Seller marks an Order as shipped on the Platform (web or mobile application) and the shipment meets the conditions of Article 7. No subscription, acceptance or payment is required at the time of shipping. The Order page shows whether the shipment is covered.

3.2 The attestations presented in the "Mark as shipped" flow form conditions of coverage under Article 7.

3.3 When the Order is marked as shipped, CardNexus records on the Order the Covered Amount, the tracking number or barcode number entered, the attestations given, and a technical log (IP address, user agent, timestamp).

Article 4 – PRICE

4.1 Shield is included at no cost. No premium is charged to the Seller and the Commission applicable to the Order is unchanged.

4.2 CardNexus may, with the notice provided for in the General Terms and Conditions, make Shield an optional paid service for some or all shipments. Shipments marked as shipped before such a change remain covered under the version of these Shield Terms of Service in force on their Consignment Date.

Article 5 – COVERED AMOUNT AND COVERAGE PERIOD

5.1 CardNexus's total liability under Shield for a Covered Shipment is capped at the Covered Amount. The Covered Amount cannot exceed the items subtotal of the Order; over-insurance is not possible. For a Barcoded Letter, the Covered Amount is in any case limited by the maximum order value for untracked letters set out in the Shipping Policy.

5.2 For a Tracked Shipment, coverage takes effect upon handover of the parcel to the carrier and expires twenty-one (21) days after the Consignment Date. The Seller must use a shipping service reasonably expected to deliver within this period.

5.3 For a Barcoded Letter, coverage takes effect upon handover of the letter to the carrier and expires when the Order closes under Article 5.2.5 bis of the General Terms and Conditions, ten (10) business days after the Order is marked as shipped.

Article 6 – COVERED EVENTS

6.1 For a Tracked Shipment, Shield covers the following events during the coverage period:

  • Loss: the shipment is lost in transit, as confirmed by the carrier or evidenced by a prolonged absence of carrier movement;

  • Theft: the shipment is stolen, where the theft is the subject of a police report;

  • Damage: the Products are delivered damaged as compared to their condition at handover to the carrier, as established in particular by the photographs referred to in Article 7.1;

  • Non-delivery: the shipment is declared delivered by the carrier but has not been received by the Buyer, as attested by the Buyer's signed declaration of non-receipt.

6.2 For a Barcoded Letter, Shield covers one event, Non-receipt: the Buyer reports before the Order closes that the letter has not arrived, and attests it by the identity check and the signed declaration of non-receipt provided for in the General Terms and Conditions. Loss, Theft and Damage are not separately covered on a Barcoded Letter.

Article 7 – CONDITIONS OF COVERAGE

7.1 For every Tracked Shipment, the Seller must:

  • before shipping, photograph the contents of the shipment and the closed parcel or envelope showing the recipient's address, the shipping label, and the postage;

  • hand the shipment to the carrier on the Consignment Date declared when marking the Order as shipped;

  • enter on the Order the tracking number actually affixed to the shipment;

  • use a tracked shipping service.

7.2 For High-Value Shipments, the Seller must in addition:

  • use a shipping service with signature on delivery; and

  • pack the Products in a rigid cardboard box. Envelopes, bubble mailers, and cardboard envelopes do not satisfy this requirement.

7.3 The High-Value Shipment threshold is 230 US dollars.

7.4 For every Barcoded Letter, the Seller must:

  • enter on the Order the number of the postage barcode actually affixed to the letter;

  • hand the letter to the carrier on the Consignment Date declared when marking the Order as shipped, and keep proof of posting;

  • before shipping, photograph the contents and the closed letter showing the recipient's address and the postage;

and the carrier must record at least one scan of the barcode. A letter with no carrier scan is not a Covered Shipment.

7.5 If any condition of this Article 7 is not satisfied for a given shipment, coverage is void for that shipment: Shield does not apply and the risk of the shipment remains with the Seller under the General Terms and Conditions. The voiding of coverage for one shipment does not affect other Covered Shipments.

Article 8 – EXCLUSIONS

The following are excluded from coverage:

  • untracked letters that are not Barcoded Letters: letters sent with a plain stamp, letters without a scannable postage barcode (including untracked letters shipped from Canada), and Barcoded Letters without any carrier scan;

  • disputes relating to the condition, authenticity, grading, or conformity of the Products, which are governed by the dispute-resolution process of the General Terms and Conditions;

  • cancellations, returns, and refunds initiated by the Buyer;

  • purely cosmetic damage, such as superficial scratches or scuffs;

  • damage pre-existing at handover to the carrier; the condition of the Products at handover, as established by the photographs referred to in Article 7.1 and the condition stated in the listing, serves as the baseline;

  • shipments to or from a country or territory other than the United States and Canada, and shipments to countries or territories subject to international sanctions or embargo;

  • any shipment for which coverage is void under Article 7.5.

Article 9 – CLAIMS

9.1 For a Tracked Shipment, claims are made by the Seller by opening a support request from the Order page, within the following time limits:

  • for Loss or Theft: within twenty-one (21) days of the Consignment Date;

  • for Damage or Non-delivery: within fourteen (14) days of the delivery date recorded by the carrier.

9.2 The Seller must provide, depending on the Covered Event:

  • Loss: the carrier's confirmation of loss, which CardNexus may assist in obtaining;

  • Theft: a copy of the police report;

  • Damage: photographs of the damaged Products and of the packaging; where possible, damage noted by the Buyer on the delivery slip at reception; the packaging must be preserved until the claim is resolved;

  • Non-delivery: the Buyer's declaration of non-receipt, obtained through the Platform.

9.3 CardNexus does not request a copy of any identity document. The Buyer's identity is verified through the identity-check service of the Platform's payment provider, and the declaration of non-receipt is signed electronically through the Platform. CardNexus may request any additional supporting documentation reasonably necessary to assess the claim, including the photographs referred to in Article 7.1, the carrier's scan history, or proof of the declared value.

9.4 For a Barcoded Letter, no claim is required from the Seller. Where the Buyer reports Non-receipt before the Order closes and completes the identity check and the signed declaration, CardNexus assesses the conditions of Article 7.4 and informs the Seller on the Order page.

Article 10 – INDEMNIFICATION

10.1 Where a claim on a Tracked Shipment is accepted, CardNexus indemnifies the Seller up to the Covered Amount. For damaged Products that can be repaired, the indemnity may be limited to the cost of repair, without exceeding the Covered Amount.

10.2 For a Barcoded Letter, where the conditions of Article 7.4 are met, CardNexus refunds the Buyer and releases the sale proceeds to the Seller as if the Order had been completed. This release constitutes the indemnity.

10.3 Any compensation received by the Seller from the carrier or any third party for the same event is deducted from the indemnity. The Seller may not recover more than once for the same loss.

10.4 If a shipment indemnified as lost, non-delivered or not received is subsequently found and delivered, the Seller must inform CardNexus and repay the indemnity received, less any covered loss or damage actually suffered.

10.5 Any fraudulent claim or declaration results in the refusal of the claim and may give rise to the measures provided for in the General Terms and Conditions, including suspension or termination of the Account, without prejudice to any legal action. CardNexus may also withdraw Shield or untracked shipping from a Seller or a Buyer where it reasonably suspects fraud or abuse.

Article 11 – MODIFICATION

CardNexus may modify these Shield Terms of Service at any time. The version in force on the day the Order is marked as shipped applies to the Covered Shipment concerned. Modified terms apply only to shipments marked as shipped after their publication.

Article 12 – LIABILITY

Shield is a contractual guarantee limited to the indemnification described in these Shield Terms of Service. It does not affect the statutory rights of Buyers, nor the Seller's obligations towards Buyers under the General Terms and Conditions and applicable law. CardNexus's aggregate liability under Shield for a given Covered Shipment shall not exceed the Covered Amount. The disclaimers and limitations applicable to Users in the North America Region under the General Terms and Conditions apply.

Article 13 – GOVERNING LAW AND JURISDICTION

These Shield Terms of Service are governed by the law applicable to Users in the North America Region under the General Terms and Conditions, and the dispute-resolution provisions of the General Terms and Conditions apply. Users acting as consumers retain the benefit of any mandatory protective provisions of the law of their state or province.
